In response to emerging operational risks and aggressive marketing practices, the Reserve Bank of India (RBI) has issued stringent regulatory directives governing Peer-to-Peer (P2P) lending platforms operated by registered NBFC-P2Ps. The regulatory intervention aims to eliminate structural misrepresentations, ensure strict adherence to matchmaking rules, and prevent systemic contagion across retail wealth portfolios.
Under initial market practices, several P2P platforms operated schemes offering guaranteed fixed yields, instant liquidity options, and automated portfolio rebalancing that effectively mimicked traditional bank fixed deposits. The RBI’s revised rules explicitly ban P2P platforms from marketing debt products as fixed-return investments, providing loss-absorption guarantees, or retaining credit risk on their balance sheets.
Furthermore, the directives enforce strict direct escrow fund routing parameters. P2P platforms are strictly prohibited from pooling investor funds in proprietary or intermediary accounts; all capital transfers must flow directly from the lender’s bank account to the verified borrower’s bank account via automated bank-managed escrow mechanisms. This measure ensures complete auditability and prevents platform operators from engaging in unauthorized maturity transformation.
Platform operators must also implement mandatory risk disclosure protocols, presenting clear borrower credit ratings, default history statistics, and recovery tracking to investors prior to capital deployment. Automated auto-investment algorithms must adhere to strict exposure caps per individual borrower, ensuring broad diversification and mitigating concentrated default shocks.
While the tighter regulatory framework has led to short-term operational recalibration across P2P platforms, industry experts emphasize that clear boundary setting builds long-term industry credibility. By eliminating unsustainable yield guarantees and enforcing true peer-to-peer risk transparently, regulators are safeguarding retail investor capital and fostering sustainable peer-to-peer credit marketplaces.
